1. Introduction

These Terms of Service ("Terms") govern your access to and use of the ThreadHound web application and API ("Service"), operated by Partridge Works Limited ("we", "us", or "our"), a company registered in England and Wales (company number 15710165), with its registered address at 17 Wrotham Road, London, EN5 4LE, United Kingdom.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service.

Where you have entered into a separate commercial agreement with us for the use of the Service, the terms of that agreement shall take precedence over these Terms to the extent of any conflict, including any service level agreements specified therein.

 


 

2. The Service

ThreadHound is a web-based platform that analyses chat group conversations and business documents, indexes them, and provides summaries and AI-powered chatbot functionality.

You must be at least 18 years old to use the Service, or have the consent of a parent or legal guardian.

 


 

3. Account Registration and Security

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Keep your login credentials confidential and secure at all times
  • Not share your account credentials with any third party
  • Notify us immediately of any unauthorised access to your account or any other security breach

You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

 


 

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Upload or share unlawful, defamatory, obscene, or infringing content
  • Use the Service to distribute spam, malware, or harmful code
  • Attempt to gain unauthorised access to any part of the Service, other users' accounts, or any systems or networks connected to the Service
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or any part thereof
  • Modify, adapt, translate, or create derivative works based on the Service
  • Use the Service in any manner that could damage, disable, overburden, or impair its functionality
  • Use automated scripts, bots, or other tools to access or interact with the Service except through our published APIs
  • Resell, sublicense, or otherwise make the Service available to any third party without our prior written consent

We reserve the right to suspend or terminate your access immediately if we reasonably believe you have violated these Terms.

7. AI-Generated Output

The Service provides summaries, analysis, and chatbot responses generated using artificial intelligence models. You acknowledge that:

  • AI-generated content may contain errors, inaccuracies, or omissions
  • AI-generated content does not constitute professional advice of any kind
  • You are solely responsible for how you use or rely upon any AI-generated information
  • We make no warranties or representations regarding the accuracy, completeness, reliability, or suitability of any AI-generated output

 


 

8. Intellectual Property

Our Intellectual Property

All intellectual property rights in the Service, including but not limited to the software, source code, algorithms, design, user interface, graphics, documentation, and all related materials (excluding Your Content), are and shall remain the exclusive property of Partridge Works Limited or its licensors.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal purposes. This licence does not include the right to:

  • Copy, modify, or distribute any part of the Service
  • Use our intellectual property for any purpose not expressly permitted by these Terms
  • Remove, alter, or obscure any proprietary notices or labels on the Service

Third-Party Intellectual Property

9. Third-Party Services

The Service integrates with and relies on third-party providers, including cloud hosting, AI model providers, and authentication services. Your use of features that depend on third-party services may be subject to the terms and conditions of those providers. We are not responsible for the availability, accuracy, or practices of any third-party service.

 


 

10. Service Availability and SLA

We aim to maintain 99.9% uptime of the Service, measured on a monthly basis. However, we do not guarantee uninterrupted or error-free access to the Service.

Planned maintenance windows will be communicated in advance where practicable. The uptime target excludes scheduled maintenance and events beyond our reasonable control.

Unless specified in a separate commercial agreement, the uptime target stated herein is an objective and not a binding commitment. No credits, refunds, or compensation shall be payable in the event of downtime.

 


 

11. Support

Support is available by email or through the Service's web interface only.

Unless otherwise specified in a separate commercial agreement, the following response times apply as general guidelines and are not binding commitments:

  • Critical issues (service unavailable or severely impaired): we aim to respond within 2 business days
  • Non-critical issues (general queries, minor bugs, feature requests): we aim to respond within 7 business days

Our typical response time for all enquiries is 3 working days. Support is provided during UK business hours (Monday to Friday, excluding UK public holidays).

 


 

12. Fees and Payment

Access to certain features of the Service may require payment of fees. Any applicable fees, billing terms, and payment conditions will be communicated to you through the Service or in a separate commercial agreement.

We reserve the right to change our fees upon reasonable notice. Continued use of the Service after a fee change constitutes your acceptance of the new fees.

 


 

13. Termination

You may close your account at any time by contacting us.

We may suspend or terminate your access to the Service immediately and without notice if:

  • You breach any provision of these Terms
  • You fail to pay any applicable fees
  • Your use of the Service could harm us, other users, or third parties
  • We are required to do so by law

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or as set out in our Privacy Policy.

 


 

14. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, whether express, implied, or statutory, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Any warranty that the Service will be uninterrupted, secure, or error-free
  • Any warranty regarding the accuracy or reliability of any information obtained through the Service

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

 


 

15. Limitation of Liability

Subject to the disclaimers above and to the fullest extent permitted by applicable law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunity, or goodwill, arising out of or in connection with your use of the Service
  • Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the total amount paid by you to us in the 12 months preceding the event giving rise to the claim, or £100, whichever is greater

 


 

16. Indemnification

You agree to indemnify, defend, and hold harmless Partridge Works Limited, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service
  • Your breach of these Terms
  • Your violation of any applicable law or the rights of any third party
  • Your Content

 


 

17. Changes to the Service and Terms

We may modify, update, suspend, or discontinue the Service (or any part of it) at any time. We will endeavour to provide reasonable notice of any material changes.

We may also update these Terms from time to time. The updated Terms will be posted on our website with an updated effective date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.

 


 

18. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, civil unrest, power failure, internet service provider failure, or actions of government authorities.

 


 

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

 


 

20. Entire Agreement

These Terms, together with our Privacy Policy and any separate commercial agreement between you and us, constitute the entire agreement between you and Partridge Works Limited in relation to your use of the Service, and supersede all prior agreements, understandings, and representations.

 


 

21. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
